Terms of Service

1. Acceptance of Terms

By accessing or using Ironback.ai (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Service.

2. Description of Service

Ironback.ai provides an AI-powered operations platform for US service businesses, including AI-driven phone answering, appointment booking, call handling, and operational automation features powered by ElevenLabs Conversational AI and Telnyx telephony infrastructure.

3. Account Registration

You must create an account to access most features. You agree to provide accurate, current information and to keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately at support@ironback.ai if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of TCPA, state telemarketing laws, or FCC rules
• Transmit unsolicited commercial communications (spam)
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to record calls without required disclosures under applicable law
• Resell or sublicense the Service without written permission

5. Telephony and Call Recording Compliance

You are solely responsible for complying with all applicable laws governing call recording and AI disclosure in your jurisdiction. This includes providing required disclosures that calls are handled by an AI, obtaining consent for recording, and complying with state-specific two-party consent laws.

Ironback.ai is not liable for your failure to comply with applicable telephony laws.

6. Subscription and Billing

Access to the Service requires a paid subscription. Fees are billed in advance on a monthly or annual basis. Payments are processed by Stripe. You authorize us to charge your payment method on a recurring basis.

Subscriptions renew automatically unless cancelled before the renewal date. Contact support@ironback.ai within 7 days of a charge for refund requests.

7. Intellectual Property

The Service, including all software, content, trademarks, and trade names, is owned by Ironback.ai. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service as described herein. You retain ownership of your business data.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that the Service will be uninterrupted, error-free, or that AI responses will always be accurate or appropriate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONBACK.AI'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Ironback.ai and its officers, directors, and employees from claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

11. Termination

Either party may terminate at any time. We may suspend your account immediately for violations of these Terms. Data export is available for 30 days following termination.

12. Governing Law

These Terms are governed by the laws of the United States. Disputes shall be resolved through binding arbitration under AAA rules, except either party may seek injunctive relief in court for IP infringement.

13. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes by email. Continued use after the effective date constitutes acceptance.
